Location: Selsdon Community Clubhouse

Time Commitment: Approximately 12 meetings per year plus preparation time and occasional events.

Purpose of the Role

Trustees are responsible for the overall governance and strategic direction of the charity, ensuring it is financially sound, well-run, and delivering its charitable objectives for the public benefit.

Trustees must act in accordance with the requirements of the Charity Commission for England and Wales and, where applicable, Companies House and company law.

Key Responsibilities

Governance and Compliance

– Ensure the charity complies with its governing document, charity law, company law, and all other relevant legislation and regulations

– Ensure the charity pursues its objects as defined in its governing document

– Act in the charity’s best interests at all times

Strategic Direction

– Contribute actively to setting the charity’s strategy and objectives
– Monitor performance against agreed plans
– Support the long-term sustainability of the organisation

Financial Oversight

– Ensure the charity’s resources are managed responsibly
– Approve budgets, accounts, and financial plans
– Ensure appropriate financial controls and risk management systems are in place

Safeguarding and Risk

– Ensure appropriate safeguarding measures are in place (where relevant)
– Identify and manage risks to the charity, its beneficiaries, and its reputation

Accountability

– Ensure the charity is accountable to its beneficiaries, funders, regulators, and the public
– Approve and monitor annual reports and returns to the Charity Commission and Companies House

Board Participation

– Attend and contribute to board meetings
– Prepare adequately for meetings
– Participate in sub-committees or working groups where required
– Legal Duties of Trustees

Trustees must:

– Act within their powers
– Act in good faith and only in the interests of the charity
– Exercise reasonable care and skill
– Avoid conflicts of interest and manage them appropriately
– Ensure the charity remains solvent

Person Specification

Essential

– Commitment to the charity’s aims and values
– Willingness to devote the necessary time and effort
– Ability to think strategically and make sound, independent judgements
– Ability to work effectively as part of a team
– Understanding of (or willingness to learn) trustees’ legal duties and responsibilities

Particularly Desirable Skills

We are especially interested in candidates with experience in:

– Human Resources (HR), including staff management, employment policies, and organisational culture
– Fundraising, including grant applications, donor engagement, and income diversification

Additional Information

– This is a voluntary, unpaid role (reasonable expenses may be reimbursed)
– Trustees will be required to undertake appropriate checks (e.g. DBS, where relevant)
– Induction and ongoing training will be provided

Trustees must be eligible to act as a trustee under charity law and must not be disqualified under the Charities Act 2011 or company law (where applicable).
